Ronald J. Stauber is a partner in our corporate and business transactional practice where he advises companies in financing, private and public offerings, direct placements, PIPEs and other financial placements. He also advises private investors, CEOs and senior management at all stages of growth, including corporate governance, acquisitions, business combinations, mergers, reverse mergers, divestures/business separations and secured and unsecured debt and equity financings.
Ron is available and serves as outside general counsel to start up, emerging, growth and mature companies where he assists with their various corporate needs, such as company formation, choice-of-entity, choice-of-state, capitalization, financing, shareholders arrangements, compliance issues, protection of management and directors, board and shareholder meetings, liquidation and dissolution. In addition to negotiating and documenting transactions, he coordinates with our Firm’s other practice groups in providing related strategic domestic and international business and commercial advice.
After earning his Juris Doctorate degree from The Ohio State University College of Law, Ron began his law career as Corporations Counsel for the Department of Investment, Division of Corporations, State of California. Prior to joining Gerard Fox Law, he had been a principal at various firms. He has served as a Judge Pro Tem in the Los Angeles County Superior Court and as a Mediator in the Riverside County Superior Court.
Ron is the author of the books Understanding Corporate Hijacking / Shells (ISBN 978-0-692-82544-0) and Convertible Debt Financing / Death Spiral (ISBN 978-0692-82299-7) and co-author of Smart Credit Repair (1991).
In addition to being recognized and listed in “The Bar Register of Preeminent Lawyers,” LexisNexis and Martindale-Hubbell Register of Most Distinguished Law Practices, 2006 to present, he is listed in various professional biographical publications including Martindale-Hubbell Law Directory [AV rating] and Who's Who in American Law (various editions).
Ron is a co-founder, member of the Board of Directors, Executive Committee, and legal counsel for the MVAT Foundation, a non-profit corporation (Heroes Link) that provides veterans and their families with a range of services spanning the spectrum of needs. The foundation has raised and distributed multimillions of dollars to charities serving US military veterans and families since 2007. He has also received City of Los Angeles Certificates of Appreciation in recognition and acknowledgment for other community service and/or pro bono legal services.
Ron is a philatelist and specializes in 19th Century United States classic stamps. He also owns, races and shows vintage pre-war classic automobiles – he was invited to and continuously races during Car Week at Pebble Beach, CA. and he has participated in various Concours d’Elegances (Greystone Manor, Rodeo Drive, Palos Verdes, San Marino, CA – award winner).
